NMPA Online Privacy Policy

INTRODUCTION.

The National Music Publishers’ Association (“NMPA”) wants you to be familiar with how we collect, use and disclose information from and about you. This is the Privacy Policy (“Privacy Policy) for www.nmpa.org, and all corresponding domains, subdomains, web pages and websites associated therewith, including without limitation member.nmpa.org (the “Site”). Please note that this Privacy Policy applies only to the information collected by NMPA through the online facilities of NMPA.

This Privacy Policy governs the access to and use by individuals and organizations of the entire Site including both the non-password-protected portions of the Site that are intended to be and are made available to the general public (“General Users”) (such portions of the Site collectively, the “Public Portions”) as well as those password-protected portions of the Site that are intended to be and are made available only to Registered Users (as defined herein) (such portions of the Site collectively “Non-Public Portions”). The word “you” as used herein refers, as applicable, to any individual or entity who visits or accesses the Site, including without limitation General Users, Registered Users and any organizations they represent.

From time to time, NMPA may update this Privacy Policy. By accessing or using the Services, you affirmatively consent to this Privacy Policy and any updates (and the practices described herein), which will remain in full force and effect, even if your use of the Site or any particular feature or activity offered in connection therewith terminates, expires or is deactivated for any reason. If you do not agree with this Privacy Policy, please do not access and/or use the Site or any features, activities, products or services offered through or in connection therewith.

THE INFORMATION WE COLLECT. The NMPA is committed to respecting your privacy and recognizes your need for appropriate protection and management of information that you provide on or in connection with the Site that would allow someone to identify or contact you, including your full name, addresses, e-mail addresses, organization or affiliation names, telephone numbers, password, payment card information, social security numbers, financial information or banking information (collectively “Personally Identifiable Information”). The Site has areas and features where Registered Users submit, and where NMPA collects, Personally Identifiable Information relating to such users. To the extent that you provide us with such information, you represent and warrant that you have the right to do so.

Public Portions of the Site. You can visit the Public Portions of the Site without telling us who you are or revealing any Personally Identifiable Information, or having any such information collected by us, unless you affirmatively choose to transact business with the NMPA or to request or supply information from the NMPA through the Site.
Non-Public Portions of the Site. Only individuals authorized by NMPA and authorized individuals acting on behalf of individual music publisher individuals or organizations currently affiliated with or seeking to affiliate with NMPA (including any related and administered publishing companies represented by or through such organizations) (“Publishers”) and who have been assigned a currently valid username and password for the Non-Public Portions of the Site (each a “Registered User”) may access and use the Non-Public Portions of the Site. As a General User, you are not authorized to access the Non-Public Portions of the Site (unless you are also a Registered User). If you are authorized to become a Registered User, in connection with your registration for, or use of Non-Public Portions of the Site, you will be required to provide NMPA with certain Personally Identifiable Information. This will enable us to verify that you are entitled to access and use features and services available through the Non-Public Portions of the Site and will allow you to obtain information and transact business through the Site. If you choose not to provide the requested Personally Identifiable Information, you may not be able to access or use the Non-Public Portions of the Site.

USE AND SHARING OF INFORMATION WE COLLECT.

Business, Administrative and Informational UsesThe Personally Identifiable Information that we gather from you through the Non-Public Portions of the Site may be used by NMPA for business, administrative and informational purposes. We may use or disclose Personally Identifiable Information to, without limitation: (1) facilitate business transactions, business relationships and licensing opportunities for NMPA members who choose to participate in such transactions; (2) calculate the dues owed by NMPA members for NMPA membership (see http://nmpa.org/members/join-now-2/ for information regarding the confidentiality of data provided); (3) enable NMPA’s CEO, legal and membership department to fulfill job duties with respect to NMPA membership or legal settlements and distributions; (4) communicate news and information about, and facilitate the activities of NMPA, and other organizations and associations within the music industry; and (5) help us administer the Site and other aspects of NMPA’s operations. By way of example and without limitation, we may use Personally Identifiable Information to contact Publishers in order to provide information about NMPA, including licensing opportunities NMPA may help facilitate.

Commercial Marketing Uses. Except as otherwise set forth herein or at the point where we collect Personally Identifiable Information from you through the Site, we will not use such Personally Identifiable Information collected from you for commercial marketing purposes regarding products or services available from third parties or to allow third parties to communicate with you regarding their products or services.

Third-Party Providers. NMPA may engage third parties to assist NMPA in managing certain functions associated with the Site and NMPA membership, such as calculating NMPA member dues, processing payments or performing IT maintenance services. Thus, for example, and without limitation, when you transmit credit card or banking information for purposes of paying member dues through the Site, you may be automatically connected with a third party who will receive your credit card or banking information and secure such information during transmission by using Secure Sockets Layer (SSL) software. Although we seek to restrict third-party service providers from using any Personally Identifiable Information received from NMPA or the Sites for any purpose other than to facilitate transactions being conducted through the Site, NMPA is not responsible for the privacy practices of third parties, including, without limitation, any negligence or misconduct on the part of third parties receiving your Personally Identifiable Information.
NON-PERSONALLY IDENTIFIABLE INFORMATION. The NMPA may track certain information about visits to the Site by General Users and Registered Users. For example, and without limitation, we may compile statistics that show the number and frequency of visitors to the Public Portions of the Site and its individual pages. NMPA may use such data to improve the Site and for other business purposes. From time to time NMPA may share with third parties aggregated statistics or other data derived from either the Public Portions or Non-Public Portions of the Site, but only in a manner such that your specific identity will not be revealed to the third parties.

INFORMATION RELATING TO ORGANIZATIONS AND COMPANIES. Please be aware that information identifying a company or organization, such as the company or organization’s name and address (“Organization Identifiable Information”) is not subject to the protections set forth in this Privacy Policy. NMPA may use Organization Identifiable Information without restriction and may share such information with third parties, subject to any applicable confidentiality practices NMPA may employ in its discretion for the protection of NMPA and its Publisher members.
DATA COLLECTION FROM CHILDREN. NMPA does not knowingly collect personal information from children under the age of 13. DATA RETENTION. NMPA will retain your Personally Identifiable Information for the period necessary to fulfill the purposes outlined in this Privacy Policy unless a longer retention period is required or allowed by law. Please be aware that even after you are no longer a Registered User copies of certain Personally Identifiable Information may remain viewable under certain circumstances. For fraud detection or to comply with applicable law or our internal security policies, we may also retain backup information which may include your Personally Identifiable Information on our servers for some time after cancelation or termination of your Registered User account. Further, you acknowledge that it is not always possible to completely remove or delete all of your Personally Identifiable Information due to technical constraints, contractual, financial or legal requirements.

 

REQUIRED DISCLOSURES. In the event that NMPA is obligated by law to disclose Personally Identifiable Information, such as by court order, or lawful warrant from a law enforcement agency, NMPA will attempt to notify you of the request so that you will have the opportunity to appear and contest the order or warrant.

DATA SECURITY. While no data transmission over the Internet is 100% secure from intrusion, we maintain commercially reasonable physical, electronic and procedural safeguards to protect your information. However, regardless of our efforts and the device you use to access the Site, it is possible that third parties may unlawfully intercept or access transmissions or private communications over an unsecured transmission. We also limit access to the Site by our own employees, contractors, service providers and those individuals who are authorized for the proper handling of such information. We request that our third party contractors and service providers follow similar standards of security and confidentiality. However, regardless of our efforts, no one can guarantee the complete safety of your information.
